The Cake Planner (Avalon Cakes Ltd) offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.
By visiting our site and/ or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.

In no case shall The Cake Planner, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. You agree to indemnify, defend and hold harmless The Cake Planner and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.
SECTION 15 - SEVERABILITY
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.
These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.
If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

SECTION 21 - RETURN POLICY
21.1 Digital Product Return Policy
As digital products are intangible goods delivered electronically, Avalon Cakes does not accept returns, refunds, or exchanges on digital products once they have been purchased and delivered. Due to the nature of digital goods, all sales are final.
We encourage our customers to review product details and specifications carefully before making a purchase decision. If you encounter any issues with your digital product purchase, please contact our customer support team at email@example.com for assistance, and we will make every effort to address and resolve your concerns.
By purchasing and downloading digital products from Avalon Cakes, you acknowledge and agree that no refunds or returns will be provided for any reason, except where required by applicable law.
21.2 Physical Product Return Policy
For a return to be considered, it must meet the following criteria:
- The return item must be a physical, tangible product.
- The item must remain unused and in the original condition as received.
- It must be accompanied by its original packaging.
- Returns must be initiated and sent within 30 days of the initial receipt of the item(s).
Please note that items failing to meet these conditions may not qualify for a return or refund. We reserve the right to decline returns that do not meet these criteria or to charge restocking fees for items not returned in their original condition.

IMPORTANT – PLEASE READ THIS END USER LICENSE AGREEMENT (THE “AGREEMENT”) CAREFULLY BEFORE ATTEMPTING TO DOWNLOAD OR USE ANY SOFTWARE, DOCUMENTATION, OR OTHER MATERIALS MADE AVAILABLE THROUGH THIS WEB SITE (www.cakeandcookieplanner.com). THIS AGREEMENT CONSTITUTES A LEGALLY BINDING AGREEMENT BETWEEN YOU OR THE COMPANY WHICH YOU REPRESENT AND ARE AUTHORIZED TO BIND (“LICENSEE” or “YOU”), AND AVALON CAKES INC. (“Avalon Cakes” or “Licensor”). PLEASE CHECK THE “I HAVE READ AND AGREE TO THE LICENSE AGREEMENT” BOX AT THE BOTTOM OF THE CART PAGE IF YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. BY CHECKING THE “I HAVE READ AND AGREE TO THE LICENSE AGREEMENT” BOX AND/OR BY PURCHASING, DOWNLOADING, INSTALLING OR OTHERWISE USING THE SOFTWARE MADE AVAILABLE BY AVALON CAKES THROUGH THIS WEBSITE, YOU ACKNOWLEDGE (1) THAT YOU HAVE READ THIS AGREEMENT, (2) THAT YOU UNDERSTAND IT, (3) THAT YOU AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS, AND (4) TO THE EXTENT YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY, YOU HAVE THE POWER AND AUTHORITY TO BIND THAT COMPANY.
- Digital Asset License
1.1. License Grant
Subject to the terms and conditions set forth in this Agreement, AVALON CAKES hereby grants to Licensee and Licensee hereby accepts, a limited, non-transferable non-sublicensable, perpetual, royalty-free, non-exclusive license (the “License”) to use the AVALON CAKES digital assets, which, comprises of digitized renders of artwork, digital brushes or stamp resources (the “Digital Assets”) to be used in preparing “mock-up” or sketch versions of cake designs (“Projects”) and any accompanying works as solely as specified in this Agreement.
1.2 Scope of Use
The Digital Assets are licensed, and not sold to You. You may only allow individuals employed by your business to use the Digital Assets. The Digital Assets are in “use” on a computer when it is loaded into temporary memory (i.e. RAM) or installed into permanent memory (e.g. hard disk or other storage device) of that computer for Projects. The Digital Assets are restricted for use with Procreate. You are limited to 2 License seats or users within Your organization who may access and use the Digital Assets for the following purposes (i) displaying and publishing works, that comprise an original work that incorporates the Digital Assets (“End Product”) and (ii) creating End Products within personal or contracted client Projects, for profit.
- License Limitations
2.1 You are not allowed to resell, transfer, rent, lease, share or sublicense the Digital Assets. Under no circumstances shall You grant further redistribution rights or redistribute any Digital Assets to any third party.
2.2 You may not use the AVALON CAKES product names, logos, or trademarks to market Your products or services.
2.3 You are not allowed to disassemble, decompile or “unlock”, decode or otherwise reverse translate or engineer, or attempt in any manner to reconstruct or discover any source code or underlying algorithms of the Digital Assets.
2.5 You are not allowed to use, copy, modify, or distribute copies of the Digital Assets and any accompanying documents except as expressly permitted in this Agreement.
AVALON CAKES shall deliver to Licensee a master copy of the Digital Assets, and, any associated works licensed hereunder in electronic files only.
- Term and Termination
This Agreement and the License granted hereunder shall continue until terminated in accordance with this Section. Unless otherwise specified in this Agreement, the License granted hereunder shall last as long as You use the Digital Assets in compliance with the terms herein. Unless otherwise prohibited by law, and without prejudice to AVALON CAKES’s other rights or remedies, AVALON CAKES shall have the right to terminate this Agreement and the License granted hereunder immediately if You breach any of the material terms of this Agreement, and You fail to cure such material breach within thirty (30) days of receipt of notice from AVALON CAKES. AVALON CAKES may also be granted rights in the Digital Assets by third-party licensors, which, may be terminated or revoked at any time by the third-party licensors, which shall cause Your License to lapse and terminate immediately. Upon termination of this Agreement, all Licenses granted to You hereunder shall terminate automatically and You shall immediately cease use of the Digital Asset. You must also destroy all copies of the Digital Assets that have not been incorporated into an End Product.
- Intellectual Property
All title and ownership rights in and to the Digital Assets (including but not limited to any images, photographs, animations, text embedded in the Digital Assets), the intellectual property embodied in the Digital Assets, and any trademarks or service marks of AVALON CAKES or AVALON CAKES licensors that are used in connection with the Digital Assets are and shall at all times remain exclusively owned by AVALON CAKES and its licensors. All title and intellectual property rights in and to the Digital Asset is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This Agreement grants You no rights to use such content.
- Limited Warranty
AVALON CAKES does not warrant the use of the Digital Assets will be uninterrupted or error free at all times and in all circumstances, nor that program errors will be corrected. This limited warranty shall not apply to any error or failure resulting from (i) machine error, (ii) Licensee’s failure to follow operating instructions, (iii) negligence or accident, or (iv) modifications to the Digital Assets by any person or entity other than AVALON CAKES. In the event of a breach of warranty, Licensee’s sole and exclusive remedy and AVALON CAKES’s sole and exclusive obligation, is repair of all or any portion of the Digital Asset. If such remedy fails of its essential purpose, Licensee’s sole remedy and AVALON CAKES’s maximum liability shall be a refund of the paid purchase price for the defective Digital Asset only. This limited warranty is only valid if AVALON CAKES receives written notice of breach of warranty no later than thirty (30) days after the License is purchased. EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH IN THIS SECTION 7, AVALON CAKES DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
- Limitation of Liability
To the maximum extent permitted by applicable law, in no event will AVALON CAKES be liable for any indirect, special, incidental, or consequential damages arising out of the use of or inability to use the Digital Asset, including, without limitation, damages for loss of goodwill, work stoppage, computer failure or malfunction, or any and all other commercial damages or losses, even if advised of the possibility thereof, and regardless of the legal or equitable theory (contract, tort or otherwise) upon which the claim is based. In any case, AVALON CAKES’s entire liability under any provision of this agreement shall not exceed in the aggregate the sum of the license fees Licensee paid to AVALON CAKES for the Digital Asset giving rise to such damages, notwithstanding any failure of essential purpose of any limited remedy. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so this exclusion and limitation may not be applicable. AVALON CAKES is not responsible for any liability arising out of content provided by Licensee or a third party that is accessed through the Digital Asset and/or any material linked through such content. The extent of AVALON CAKES’s liability for the limited warranty section shall be as set forth therein.
You agree to indemnify, hold harmless, and defend AVALON CAKES, its directors, employees, licensors, and authorized resellers from and against any and all claims, lawsuits and proceedings (collectively “Claims”), and all expenses, costs (including attorney's fees), judgments, damages and other liabilities resulting from such Claims, that arise or result from (i) Your use of the Digital Asset in violation of this Agreement, (ii) the use or distribution of the Digital Asset or (iii) Your modification of the Digital Asset.
Except as otherwise provided herein, each party expressly undertakes to retain in confidence all information and know-how transmitted or disclosed to the other that the disclosing party has identified as being proprietary and/or confidential or that, by the nature of the circumstances surrounding the disclosure, ought in good faith to be treated as proprietary and/or confidential, and expressly undertakes to make no use of such information and know-how except under the terms and during the existence of this Agreement. However, neither party shall have an obligation to maintain the confidentiality of information that (i) it received rightfully from a third party without an obligation to maintain such information in confidence; (ii) the disclosing party has disclosed to a third party without any obligation to maintain such information in confidence; (iii) was known to the receiving party prior to its disclosure by the disclosing party; or (iv) is independently developed by the receiving party without use of the confidential information of the disclosing party. Further, either party may disclose confidential information of the other party as required by governmental or judicial order, provided such party gives the other party prompt written notice prior to such disclosure and complies with any protective order (or equivalent) imposed on such disclosure. Without limiting the foregoing, Licensee shall treat any source code for the Digital Asset as confidential information and shall not disclose, disseminate, or distribute such materials to any third party without AVALON CAKES’s prior written permission. Each party’s obligations under this Section 9 shall apply at all times during the term of this Agreement and for two (2) years following termination of this Agreement, provided, however, that obligations with respect to source code shall survive in perpetuity.
- Governing Law
This License will be governed by the law of the State of Colorado, U.S.A., without regard to the conflict of laws principles thereof. If any dispute, controversy, or claim cannot be resolved by a good faith discussion between the parties, then it shall be submitted for resolution to a state or Federal court or competent jurisdiction in the State of Colorado, USA, and the parties hereby agree to submit to the jurisdiction and venue of such court. The Uniform Computer Information Transactions Act and the United Nations Convention on the International Sale of Goods shall not apply to this Agreement. If any provision of this Agreement is to be held unenforceable, such holding will not affect the validity of the other provisions hereof. Failure of a party to enforce any provision of this Agreement shall not constitute or be construed as a waiver of such provision or of the right to enforce such provision.
- Entire Agreement
This Agreement shall constitute the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous communications regarding the subject matter hereof. Use of any purchase order or other Licensee document in connection herewith shall be for administrative convenience only and all terms and conditions stated therein shall be void and of no effect unless otherwise agreed to in writing by both parties.
- No Assignment
You may not assign, sublicense, sub-contract, or otherwise transfer this Agreement, or any rights or obligations under it, without AVALON CAKES’s prior written consent.
If a particular provision of this Agreement is terminated or held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, this Agreement shall remain in full force and effect as to the remaining provisions.
YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, THAT YOU UNDERSTAND THIS AGREEMENT, AND UNDERSTAND THAT BY CONTINUING THE INSTALLATION OF THE DIGITAL ASSET, BY LOADING OR RUNNING THE DIGITAL ASSET, OR BY PLACING OR COPYING THE DIGITAL ASSET ONTO YOUR COMPUTER HARD DRIVE, YOU AGREE TO BE BOUND BY THIS AGREEMENT’S TERMS AND CONDITIONS. YOU FURTHER AGREE THAT, EXCEPT FOR WRITTEN SEPARATE AGREEMENTS BETWEEN AVALON CAKES AND YOU, THIS AGREEMENT IS A COMPLETE AND EXCLUSIVE STATEMENT OF THE RIGHTS AND LIABILITIES OF THE PARTIES.
